Funds Lawyer (Mid-Level), Banking Sector - CDI - Luxembourg

The Fund Legal Department is responsible for the legal work in relation to the set-up, restructuring and liquidation of investment funds (chiefly domiciled in the Cayman Islands) administered by Nomura Bank (Luxembourg) S.A. (“NBL”). The Fund Legal Department is also in charge of company secretarial tasks for the Cayman Islands-domiciled subsidiaries of NBL as well as monitoring of the legislations and regulations applicable to our business activities. In order to support the department, we are looking for a Mid-level Investment Funds Lawyer on a permanent contract. Your main tasks will be: Drafting legal documents for investment fund set-up, restructuring and liquidation in co-ordination with promoters, investment managers, other stakeholders and external lawyers Performing all necessary activities in relation to the above including, but not limited to meeting participation, conference calls, review and execution of legal documents Communication and coordination with various departments within NBL Safekeeping of original documents and database maintenance Company secretary functions for the Cayman subsidiaries of NBL Monitoring and assessing the impacts of the updates of the relevant laws and regulations Job requirements: Studies in Law (preferably in Luxembourg/European and/or in a UK/common law jurisdiction). Bar admission is a plus Solid fund legal experience as a law firm lawyer or as an in-house counsel at a financial institution Familiarity with financial regulations applicable in Luxembourg/Europe/Cayman Islands. Willingness to learn offshore fund business with Japanese clients. Good understanding of investment fund regulations, structures and procedures for set-ups / restructuring, especially in relation to Cayman Islands- and Luxembourg-domiciled funds. Good knowledge of company secretary functions for investment funds' trustee company and management company and/or for credit institutions, as well as sufficient command of corporate governance, regulatory monitoring, and internal control frameworks A collaborative mindset and willingness to share administrative tasks and operational responsibilities with team members to ensure smooth departmental operations. Excellent command of English, both spoken and written.
